Terms of Service

1. Agreement

These Terms of Service (the "Terms") form a binding agreement between you and Sage ("Sage", "we", "us", or "our") governing your access to and use of the Sage website, waitlist, AI-powered creative advertising platform, APIs, and related services (collectively, the "Service"). By creating an account, joining the waitlist, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agreed to these Terms and to our Privacy Policy and Refund Policy. If you do not agree, do not use the Service. If you are using the Service on behalf of an organisation, you represent that you have authority to bind that organisation to these Terms, and "you" refers to that organisation.

2. Description of the Service

Sage provides software tools that use artificial intelligence to help you define Ideal Customer Personas (ICPs), structure brand and product profiles, brainstorm angles, and generate or refine creative assets (including images and copy) intended for use in marketing and advertising. Sage is a self-service tool provider. Sage is not your advertising agency, marketing consultant, legal adviser, media buyer, publisher, or broadcaster, and does not operate, review, approve, or place any advertising on your behalf. Any decision to use, modify, publish, distribute, or advertise content produced with the Service is made solely by you.

We may add, modify, suspend, or discontinue features at any time with or without notice. The Service, including any features identified as beta, preview, or experimental, is provided on an "as is" and "as available" basis.

3. Eligibility and account

You must be at least 18 years old and legally able to enter into a binding agreement. You must provide accurate, complete, and current information when you sign up, and keep it updated. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You may not share, sell, rent, or transfer your account. You must notify us promptly at support@asksage.co of any suspected unauthorised use.

4. AI-generated content — nature and limitations

The Service uses machine-learning models that produce probabilistic outputs. You acknowledge and agree that:

  • outputs may be inaccurate, incomplete, outdated, offensive, or otherwise unsuitable, and may reflect biases present in training data;
  • similar or identical outputs may be generated for other users from similar prompts, and we make no guarantee of uniqueness, originality, novelty, or non-infringement;
  • outputs may unintentionally resemble existing trademarks, trade dress, copyrighted works, names, likenesses, or styles, and you are solely responsible for clearing and respecting third-party rights before any use;
  • outputs are not professional advice of any kind (including legal, regulatory, medical, financial, or tax advice) and must not be relied upon as such;
  • you must meaningfully review, fact-check, edit, and approve every output before publishing, sharing, or using it in any advertisement, marketing communication, or commercial context.

5. Your content and inputs

"Your Content" means everything you submit to the Service, including brand and product information, uploaded images, reference files, prompts, chat messages, and any other inputs. You retain ownership of Your Content. You grant Sage and our service providers a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, modify, create derivative works from, transmit, and process Your Content solely to (a) operate, maintain, and provide the Service to you; (b) generate outputs you request; (c) prevent abuse, fraud, or violations of these Terms; (d) improve the Service, in an aggregated and/or de-identified manner where reasonably possible; and (e) comply with legal obligations. This licence ends when you delete Your Content or close your account, except to the extent that retention is necessary for the purposes above or required by law.

6. Outputs and your licence

Subject to your compliance with these Terms and payment of any applicable fees, Sage assigns to you, to the maximum extent permitted by law and as between you and Sage, its rights (if any) in the outputs generated specifically in response to your prompts ("Outputs"), so that you may use Outputs for your lawful internal and external business purposes, including advertising in accordance with Section 7.

Because of the nature of generative AI, (i) Sage does not warrant that it has any copyright or other intellectual property rights in Outputs, (ii) Outputs may not be eligible for copyright or other protection, and (iii) the same or similar Outputs may be generated for others. You are solely responsible for verifying that your use of Outputs does not infringe any third-party right and for obtaining any trademark, copyright, publicity, privacy, consent, release, or licence required for your intended use. Sage does not grant you any trademark registration, endorsement, or right to suggest association with Sage or any third party.

7. Your responsibilities as an advertiser

You are the advertiser, publisher, and sole decision-maker for any Output you use. You are exclusively responsible, and Sage disclaims any responsibility, for:

  • ensuring that your advertisements and marketing communications comply with all applicable laws and regulations, including consumer protection, unfair commercial practices, misleading and comparative advertising, intellectual property, data protection, publicity and image rights, product safety, labelling, sector-specific rules (e.g. financial services, health, cosmetics, food, alcohol, gambling, supplements, minors), and the EU Digital Services Act and AI Act as applicable;
  • ensuring substantiation of every claim (including performance, effectiveness, origin, price, availability, endorsements, testimonials, reviews, and before/after visuals);
  • adding appropriate disclaimers, disclosures, and labels, including clear identification of AI-generated or AI-manipulated content where required by law, platform rules, or industry codes;
  • complying with the policies of the platforms on which you run ads (for example, Meta, Google, TikTok, LinkedIn, X, Amazon, Apple), including their prohibitions on deceptive, misleading, sensational, discriminatory, or restricted content;
  • reviewing and approving every creative before it is published or distributed, and maintaining records of your review;
  • handling consumer complaints, product claims, returns, warranties, and after-sales obligations relating to the products or services you advertise.

8. Prohibited uses

You must not, and must not permit anyone else to, use the Service to create, distribute, publish, or advertise content that:

  • is unlawful, fraudulent, deceptive, false, misleading, or unsubstantiated, including false or exaggerated product claims, fake reviews or testimonials, fake scarcity or urgency, fake endorsements, or fake before/after results;
  • infringes, misappropriates, or violates any third-party intellectual property, trade secret, publicity, privacy, or moral right, or impersonates any person, brand, or organisation;
  • depicts or is directed at minors in advertising contexts in a way that violates applicable law or platform policy;
  • depicts real, identifiable individuals, their likeness, voice, or distinctive attributes without their demonstrable, auditable consent, or creates non-consensual intimate, sexualised, or political deepfakes;
  • makes medical, health, safety, financial, investment, income, weight-loss, or similar claims without a valid legal basis and proper substantiation and disclaimers;
  • targets protected categories in a discriminatory way, or exploits vulnerable audiences;
  • promotes weapons, illegal drugs, regulated substances unlawfully, human exploitation, hate, harassment, violence, self-harm, sexual content involving minors, or content that sexualises non-consenting individuals;
  • contains malware, phishing, scams, pyramid or multi-level schemes, cryptocurrency rug-pulls, or other abusive content;
  • violates sanctions, export-control, anti-bribery, or anti-money-laundering laws;
  • attempts to reverse engineer, scrape, interfere with, or circumvent the security, rate limits, or access controls of the Service, or that resells, sublicences, or makes the Service available to third parties without our written consent.

We may (but are not obligated to) review, filter, limit, or remove content and may suspend or terminate your access with or without notice if we believe you have violated these Terms or created legal, reputational, or safety risk to Sage, users, or third parties. Our review, if any, does not constitute approval of your content and does not shift responsibility away from you.

9. Third-party platforms and AI providers

The Service integrates with or relies on third-party providers (for example, cloud hosting, database and authentication providers such as Supabase, AI model providers such as OpenAI, payment processors, analytics, and advertising platforms). Your use of those third parties is also governed by their terms and policies. Sage does not control and is not responsible for third-party services, changes to their availability, pricing, APIs, content policies, or enforcement decisions. Temporary unavailability or degradation of third-party services does not constitute a breach of these Terms by Sage.

10. Fees, subscriptions, and billing

Where the Service is offered on a paid basis, prices, billing frequency, included usage, and any credit-based allowances are stated at sign-up or on our website. By subscribing or purchasing, you authorise us or our payment processor to charge your payment method on a recurring basis (for subscriptions) or at the time of purchase (for one-time purchases). Subscriptions renew automatically until cancelled in accordance with our Refund Policy. You are responsible for all applicable taxes. We may change prices with reasonable prior notice; continued use after the change takes effect constitutes acceptance of the new price. Failed payments may result in suspension or termination of access.

11. Beta features

We may make features available that are labelled beta, preview, alpha, experimental, or similar ("Beta Features"). Beta Features are provided for evaluation, may be unstable, may change or be discontinued at any time, and are provided without any warranty or support commitment. Sage's liability for Beta Features is, to the maximum extent permitted by law, excluded.

12. Sage intellectual property

The Service, including its software, models, prompts, templates, designs, documentation, names, logos, and other materials, is owned by Sage or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable right to access and use the Service for its intended purpose in accordance with these Terms. All rights not expressly granted are reserved. You must not remove or alter any proprietary notices.

13. Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant Sage a perpetual, irrevocable, worldwide, royalty-free licence to use them for any purpose without obligation to you.

14. Confidentiality

Each party will protect the other party's non-public information disclosed in connection with the Service using at least the same degree of care it uses to protect its own confidential information (and no less than a reasonable standard), and will use it only to perform under these Terms or as required by law. This Section does not limit our rights under Section 5 or our Privacy Policy.

15. Disclaimer of warranties

To the fullest extent permitted by applicable law, the Service, all Outputs, and any information provided through the Service are provided "as is" and "as available", without warranties of any kind, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, accuracy, quality, reliability, title, non-infringement, uninterrupted or error-free operation, or that Outputs will achieve any particular advertising, marketing, sales, or business result. Any such result depends on many factors outside our control. We do not warrant the legal compliance or suitability of Outputs for your intended use.

16. Limitation of liability

To the fullest extent permitted by applicable law, Sage, its affiliates, officers, directors, employees, agents, suppliers, and licensors will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, goodwill, data, business, opportunity, advertising spend, chargebacks, fines, penalties, account suspensions imposed by third-party platforms, or reputational harm, whether in contract, tort (including negligence), strict liability, or otherwise, even if advised of the possibility of such damages.

To the fullest extent permitted by applicable law, Sage's total aggregate liability arising out of or relating to the Service or these Terms will not exceed the greater of (a) the amounts actually paid by you to Sage for the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred euros (€100).

Nothing in these Terms limits or excludes any liability that cannot be limited or excluded under applicable law, including mandatory consumer-protection rights that may apply to you if you are acting as a consumer in the EU or other protected jurisdictions.

17. Indemnification

You will defend, indemnify, and hold harmless Sage, its affiliates, and their respective officers, directors, employees, agents, and licensors from and against any and all third-party claims, demands, investigations, proceedings, losses, damages, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) Your Content, your inputs, or your use of any Outputs, including your advertisements and marketing communications; (b) your breach or alleged breach of these Terms, our Privacy Policy, our Refund Policy, or applicable law; (c) your infringement or misappropriation of any third-party right, including intellectual property, publicity, privacy, or image rights; (d) any claim of misleading, deceptive, unfair, comparative, or otherwise unlawful advertising based on your use of the Service; and (e) any dispute between you and a third party, including a consumer, regulator, or advertising platform. We may, at our option, control the defence and settlement of any matter subject to indemnification, and you will cooperate with us at your expense. This obligation survives termination.

18. Suspension and termination

You may stop using the Service at any time and, for paid plans, may cancel as described in the Refund Policy. We may suspend or terminate your access, with or without notice, if (i) you breach these Terms, (ii) your use creates legal, safety, or reputational risk, (iii) we are required to do so by law or by a third-party provider, (iv) payment fails, or (v) we discontinue the Service. Upon termination, your right to use the Service ends immediately. Sections that by their nature should survive termination (for example, Sections 4, 5, 6, 7, 8, 12, 13, 15, 16, 17, 19, 20, 21, 22, 23) will survive.

19. Compliance, sanctions, and export controls

You represent and warrant that you are not located in, under the control of, or a national or resident of any jurisdiction subject to comprehensive sanctions, and that you are not on any restricted-party list. You will not use the Service in violation of export-control, sanctions, anti-bribery, or anti-money-laundering laws.

20. Force majeure

Sage is not liable for any failure or delay in performance caused by events beyond our reasonable control, including acts of God, natural disasters, pandemics, war, terrorism, civil unrest, governmental action, strikes, internet or telecommunications failures, cyber-attacks, or failures of third-party providers.

21. Governing law and jurisdiction

These Terms are governed by the laws of Italy, without regard to its conflict-of-laws rules. Subject to mandatory consumer protection rights, the courts of Italy will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service. If you are a consumer habitually resident in the EU, you may also bring proceedings in the courts of your country of residence, and you benefit from the mandatory protections of the law of that country.

22. Changes to these Terms

We may update these Terms from time to time. We will post the updated version on this page and revise the "Last updated" date. For material changes, we will provide additional notice where required by law. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms. If you do not accept the updated Terms, you must stop using the Service.

23. General

These Terms, together with the Privacy Policy, the Refund Policy, and any other policies we reference, constitute the entire agreement between you and Sage regarding the Service and supersede any prior agreements. If any provision is held unenforceable, the remaining provisions will remain in full force. Our failure to enforce any right is not a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms in connection with a merger, acquisition, reorganisation, or sale of assets. No agency, partnership, joint venture, or employment relationship is created by these Terms. Notices to Sage must be sent to the contact address below; we may provide notices to you via email or through the Service.
